Terms and Conditions of Sale
1. Agreement and Definitions
These Terms and Conditions of Sale (the “Terms”) are the agreement between you and TDP Industries, LLC, doing business as Texas Drivetrain Performance, a Texas limited liability company located at 10710 Tube Drive, Suite 30, Hurst, Texas 76053 (“TDP,” “we,” or “us”). They apply to every purchase from txdrivetrain.com and to every parts sale or service order placed with us by phone, email, or in person.
By ticking the box at checkout and placing an order, you confirm that you have read and agree to these Terms, including the Return Policy (Section 7) and the Limited Warranty (Section 9). If you do not agree, do not place an order.
- “Customer” or “you” means the individual or company that places the order with TDP.
- “Parts” means individual components sold by TDP, including clutch kits, hydraulics, rebuild kits, torque tube and differential components, and new Tremec transmissions.
- “Unit” means a transmission, differential, axle, torque tube assembly, or other rebuildable assembly that TDP sells or rebuilds.
- “Core” means a used Unit or part that you send to TDP to be rebuilt, or that is returned in exchange for a core credit.
- “Services” means rebuilds and repairs performed on a Unit or Core, and removal, installation, or other vehicle work performed at TDP’s facility.
- “Special-Order Item” means any item that TDP does not keep in stock, or that is built, modified, or ordered specifically for you.
- “Site” means txdrivetrain.com and any related TDP web pages.
Who may order. You must be at least 18 years old and able to enter a binding contract. If you order for a business, you confirm you are authorized to bind it.
Changes to these Terms. We may update these Terms at any time. The version posted on the Site when you place your order is the version that applies to that order.
Electronic communications. You agree that we may send order confirmations, tracking, invoices, and notices about your order to the email address you provide, and that these satisfy any legal requirement that they be in writing.
Signed quotes and work orders. If TDP issues a signed quote or work order for Services, its specific terms apply to that job. If it conflicts with these Terms, the signed quote or work order controls.
2. Products, Fitment, and Technical Information
You are responsible for confirming fitment. TDP sells performance drivetrain parts for many vehicles, years, and configurations, including modified and swapped vehicles. Before you order, confirm that each Part is correct for your vehicle, transmission, engine, flywheel, bellhousing, hydraulics, and intended use. Compare part numbers, specifications, and photos against what is on your vehicle, not only against a year, make, and model listing. If you are unsure, contact us before you order.
Fitment guidance is given in good faith. If we recommend or confirm a Part based on information you provide, we rely on that information being accurate and complete. We are not responsible for fitment problems caused by incorrect information, mid-year production changes, prior modifications, mismatched components, or parts not supplied by TDP.
Kits may not include everything. A kit or package contains only the items listed in its description. Clutch jobs and transmission installs commonly also require related parts such as a clutch master cylinder, hydraulic lines, fluid, a throwout bearing or fork, pivot components, mounts, or fasteners. Inspect every related component and replace what is worn, damaged, or aged.
Descriptions, images, and specifications. We work to keep product information accurate, but photos are illustrative, and manufacturers change designs and specifications without notice. We may ship an equivalent or superseding part number in place of the one shown when the replacement is equal or better in form, fit, and function.
Availability. Stock levels shown on the Site are not a guarantee. If an item you ordered is unavailable, we will contact you to offer a backorder, a substitute, or a refund.
Pricing and listing errors. If a Part is listed at the wrong price or with an obvious error, we may cancel the order and refund you in full, even after you receive a confirmation.
Technical information is general. Product descriptions, tech articles, FAQs, videos, and advice from our staff are for general information. They do not replace the manufacturer’s service procedures or an in-person inspection by a qualified technician, and they do not create a warranty beyond Section 9.
3. Pricing, Payment, Taxes, and Fraud Prevention
Prices. All prices are in U.S. dollars. Prices, promotions, and availability can change at any time without notice. The price that applies to your order is the price shown when you place it, and we do not adjust prices on orders already placed.
Payment. Payment for Parts is due when you place your order, using a payment method offered at checkout. You confirm that you are authorized to use the payment method, that the billing information is accurate, and that we may charge the full order total, including shipping, taxes, and any core charge. For Units and Services, payment terms are in Sections 8 and 10.
Promotions. Discount codes and promotions apply only as stated, cannot be combined unless the offer says so, and cannot be applied to an order after it is placed.
Sales tax. We collect sales tax where the law requires it. Orders shipped to Texas addresses are taxable unless you provide a valid resale or exemption certificate before the order ships. We cannot refund tax collected on an order if no certificate was on file when it shipped.
Fraud prevention. To protect you and us, we may verify your identity, billing address, or payment method before we ship. We may hold, cancel, or refuse any order that appears fraudulent, that has mismatched billing and shipping details, or that we cannot verify, and we will refund any payment we collected for a canceled order.
Contact us before disputing a charge. If you have a problem with an order, please contact us first and give us 10 business days to resolve it. This does not limit your right to dispute a charge under the law or your card agreement. If you dispute a charge for an order that was delivered or completed without contacting us first, you agree that we may give your card issuer your invoice, tracking and delivery records, your acceptance of these Terms (including your order number, the date, and your IP address), and our communications with you. If we refund, replace, or otherwise resolve your issue, you agree to withdraw the dispute. If you keep both the product and a refund, or the dispute is decided in our favor, you agree to pay the amount owed plus any chargeback fees we incur and reasonable collection costs, to the extent the law allows. We may decline future orders from you.
4. Order Acceptance, Changes, and Cancellations
Acceptance. Your order is an offer to buy. An order confirmation email means we received it, not that we accepted it. We accept an order when we ship the Parts or begin the Services. We may decline, limit, or cancel any order, including for unavailability, pricing errors, suspected fraud, or an address we cannot ship to, and we will refund any amount you paid for a canceled order.
Cancelling a standard order. Orders for in-stock Parts often ship the same day. To cancel, call us at (817) 508-8710 as soon as possible. We can cancel only if the order has not shipped. Once an order ships, the Return Policy in Section 7 applies.
Special-Order Items and custom work. We order, build, or modify Special-Order Items specifically for you, including custom Tremec units, built transmissions, and custom-machined parts. Once we have ordered the parts or started the work, the order cannot be canceled or returned, except as stated under “Late shipments” in Section 5. Any deposit is applied to the work and is not refundable, except where we cancel because we cannot supply the item, in which case we refund you in full.
Cost changes on Special-Order Items. If a supplier price increase, new tariff, or similar cost change affects a Special-Order Item before we ship it, we will tell you the new price. You may approve it or cancel the item for a full refund, including any deposit.
Changes. We can change an order’s contents or shipping address only before it ships. You are responsible for entering a complete and correct shipping address. We are not responsible for an order that is delayed, lost, or delivered to the wrong place because of an error in the address you gave us.
Backorders and partial shipments. If part of your order is on backorder, we will tell you, and you may cancel the backordered item for a refund. We may ship an order in more than one package, and a delay in one package does not delay the others.
5. Shipping and Delivery
Processing time. Orders for in-stock Parts placed before noon Central Time typically ship the same business day. Orders placed after noon, or that need extra processing, typically ship the next business day. Business days are Monday through Friday, excluding holidays. These are targets, not guarantees. Special-Order Items, built transmissions, and Services have their own lead times, which we will give you on request.
Late shipments. If we cannot ship your order by the date we gave you, or within 30 days of your order if we gave no date, we will tell you, give you a new ship date, and explain that you may cancel the late item for a full refund, including any deposit. If the delay will be longer than 30 days, or if it happens more than once, we will ask for your agreement to the new date. If we do not receive it, we will refund you.
Shipping charges. Shipping is calculated at checkout or quoted by us for heavy and oversized items. Unless we say otherwise, we choose the carrier and service level that fits the item and the destination. Shipping charges are non-refundable, except where we shipped the wrong item or a defective Part.
Delivery times are estimates. Carriers set transit times, and we cannot control them. We are not responsible for carrier delays, including delays on expedited services such as Next Day and 2-Day, and we do not refund the shipping charge when an expedited delivery is late.
Freight shipments. Transmissions, differentials, torque tubes, and other heavy items may ship by truck freight. Delivery to a residence, or without a loading dock, can cost more and may need a liftgate or a scheduled appointment. If you need the item delivered to a residence, tell us before you order so we can quote the correct charge. We cannot ship freight to a PO Box.
Title and risk of loss. Title and risk of loss pass to you when we hand the shipment to the carrier. Once the carrier has it, delays, loss, and damage are matters between you and the carrier, and we will help you with the claim.
Inspect on delivery. For freight, inspect the shipment before you sign. If you see damage, note it on the carrier’s delivery receipt and photograph it before you sign or accept the shipment. For parcel shipments, report visible damage to us within three business days of delivery. Keep all packaging until the claim is resolved. Damage in shipping is a carrier matter, not a warranty defect under Section 9, but we will work with you to repair, replace, or refund damaged items when you report it on time and keep the packaging.
Wrong address, refused, or unclaimed shipments. If a shipment comes back to us because the address was wrong, the carrier could not reach you, or you refused or did not claim it, you pay the original shipping charge and the cost of sending it again. We will refund the product price, less any restocking fee under Section 7, after we receive and inspect the items.
6. International Orders
We ship to customers in many countries. These additional terms apply to any order delivered outside the United States.
You are the importer. Unless we agree otherwise in writing, international orders ship on a delivered-at-place basis. You are the importer of record. You are responsible for all import duties, tariffs, VAT, customs clearance and brokerage fees, and any other charges your country or the carrier assesses. Those charges are not included in the product price or the shipping charge. The carrier may bill you directly, or may bill us and pass the charge on to you, and you agree to pay it promptly.
Know your local rules. You are responsible for confirming that the Parts are legal to import and use in your country and for getting any import license, permit, or certificate your country requires. Please check with your local customs authority before you order.
Accurate customs documents. We declare the true value and description of every shipment. We will not mark an order as a gift, understate its value, or change its description to reduce duties. Tariff codes on our paperwork reflect our good-faith classification, and your customs authority may classify the Parts differently.
Delays, holds, and refused shipments. Customs clearance is outside our control. We are not responsible for delays, inspections, seizures, or storage charges at customs. If a shipment is refused, abandoned, or returned because you did not pay duties or taxes, did not provide required information, or did not follow your country’s import rules, you owe the original shipping charge, the return shipping, and all customs charges. We will refund the product price, less any restocking fee under Section 7, only after the items are back at our facility and inspected. If the carrier or customs destroys or disposes of the shipment, we cannot refund it.
Freight forwarders. If you use a freight forwarder or reshipper, we treat delivery to the forwarder as delivery to you. You are responsible for what happens after that.
Returns and warranty claims from abroad. Section 7 and Section 9 apply to international orders, with these differences. For a standard return or a warranty claim, you pay all shipping, export and import duties, taxes, and brokerage, in both directions. TDP’s free two-way shipping on warranty claims applies only to orders shipped within the United States (Section 9). If we sent the wrong item or a Part arrives defective, the five-business-day reporting window and return-shipping terms in Section 7 apply to international orders too. We do not refund the original shipping charge, duties, or taxes on an order that ships abroad, except where we shipped the wrong item or a defective Part. All returns and warranty claims must be authorized first.
Currency. All charges are in U.S. dollars. Your bank or card issuer may add foreign-exchange or international transaction fees, which are your responsibility.
Export compliance. All sales are subject to U.S. export control and sanctions laws. We screen orders and may refuse or cancel any order, without liability, if it is destined for a sanctioned country or region, a denied or restricted party, or a prohibited end use, or if we cannot verify the buyer or the destination. You agree not to export, re-export, or transfer the Parts in violation of those laws.
7. Returns, Exchanges, and Refunds
This section covers returns of Parts. It does not cover warranty claims, which are handled under Section 9, or core returns, which are handled under Section 8.
Return policy. All returns must have a pre-approved Return Goods Authorization (RGA) number, requested within 30 days of the invoice date. Items must be new, uninstalled, and in their original packaging. Every return is subject to a 20% restocking fee, which is deducted from your refund. Return shipping is your responsibility.
How to return an item.
- Contact us by phone or email with your order number and the reason for the return.
- Wait for an RGA number. Do not ship an item back without one, because returns without an RGA may be refused.
- Pack the item securely in its original packaging, mark the RGA number on the outside of the box, and ship it to us. We recommend insured, trackable shipping. You bear the risk of loss and damage in return shipping.
What we cannot take back. We do not accept returns of:
- Items that have been installed, mounted, used, or exposed to fluid, or that show signs of installation or wear.
- Special-Order Items and custom, built-to-order, or custom-machined items (Section 4).
- Used, surplus, clearance, or “random” items. These are SOLD AS IS, WITH ALL FAULTS, AND WITH NO WARRANTY.
- Items returned without an RGA, after the 30-day window, or in non-original or incomplete packaging.
Fitment and ordering errors. If you ordered the wrong Part, or it does not fit because of a difference in your vehicle or setup, the standard return policy applies, including the restocking fee and your return shipping cost.
Our errors and defective items. If we sent the wrong item, or a Part arrives defective, contact us within five business days of delivery. We will pay return shipping, waive the restocking fee, and replace the item or refund you, whichever you choose, once we confirm the problem. For damage that happened in shipping, follow the reporting steps in Section 5, including the three-business-day window for parcel shipments.
Inspection. We inspect every return when it arrives. If an item does not meet the conditions above, we may refuse the return, deduct for damage or missing items, or send it back to you at your expense.
Refunds. Approved refunds go back to your original payment method, usually within 10 business days after we receive and inspect the item. Shipping charges, and duties and taxes on international orders, are not refunded except as stated in Sections 5 and 6. Your bank may take additional time to post the refund.
Exchanges. We treat an exchange as a return of the original item plus a new order for the replacement.
8. Rebuilt Transmissions, Units, and Core Charges
Core charges. Transmissions are sold with a core charge unless the listing says no core is required, and some other Units and Parts may carry one too. The charge is shown separately at checkout. It is refundable when you send us an acceptable core. A core is acceptable if it is the same type of unit or part that you bought, complete and not disassembled, repairable and not broken, cracked, or heat-damaged, and drained of fluid. We must receive the core within 60 days of the invoice date. Contact us for an RGA number before you ship it. We inspect every core on arrival. If it is acceptable, we refund the core charge to your original payment method. If it is not, we may reduce or withhold the refund and will tell you why. We may charge a reasonable cleaning and disposal fee for a core sent with fluid in it. You pay shipping on core returns unless we agree otherwise in writing.
Rebuilding or repairing your unit. When you send or bring us your own transmission, differential, or other Unit for service, we follow this process:
- We receive and disassemble the unit and inspect every part.
- We contact you with our findings, our recommendations, and a quote for the work.
- We do not start the rebuild until you approve the quote.
- After approval, we reassemble the unit and tell you when it is ready.
Pricing is set after inspection. We cannot know the exact cost of a rebuild until the unit is taken apart. We replace wear items in every rebuild, and we replace non-wear (hard) parts only when inspection shows they are damaged or worn out. If you decline the quote, we will reassemble the unit or return it as disassembled, and you owe reasonable charges for the disassembly and inspection and any shipping we advanced.
Payment. Payment is due when you pick the unit up. For a unit we ship back to you, payment is due when it is assembled and ready to ship, and we ship it after we receive payment.
Turnaround times are estimates. Most rebuilds take approximately two weeks, depending on our workload and parts availability. Any time we quote is an estimate, not a promise.
Shipping a unit to us. You are responsible for draining the fluid, removing the items we ask you to remove, and packing the unit securely, using the instructions on our Shipping page. If we arrange and prepay your inbound freight or carrier label, we add that cost to your final bill. We note the condition of each unit when it arrives. We are not responsible for damage that results from inadequate packing, and we are not responsible for brackets, sensors, shifters, bellhousings, slave cylinders, or other items left on or shipped with your unit unless we agreed in writing to service or return them.
Replaced parts. Parts we remove during a rebuild become our property unless you ask to keep them before we start the work.
Fluid: our units are not pre-filled. Built, rebuilt, carry-out, and shipped-in Units are not filled with fluid. You must fill the unit with the correct fluid, in the correct amount, before it is driven. For Tremec T56 and TR6060 transmissions, use only non-synthetic Dexron or Mercon-type automatic transmission fluid in the quantity we specify. Do not use gear oil, synchromesh fluid, or any synthetic fluid. Running a Unit without fluid or with the wrong fluid will damage it, and the damage is not covered by Section 9.
9. Limited Warranty
The complete Limited 12-Month Warranty is below. It is part of these Terms and is also posted on the Warranty page of our Site. You may ask for a free copy before you buy by calling (817) 508-8710 or emailing sales@txdrivetrain.com.
Limited 12-Month Warranty
1. Definitions
“TDP” means TDP Industries, LLC, dba Texas Drivetrain Performance, a Texas limited liability company. “Customer” means the original individual or company that purchased the product or service directly from TDP. “Unit” means a transmission, axle, or other rebuildable assembly. “Parts” means individual components sold by TDP. “TDP Labor” means installation or repair labor performed by TDP employees at TDP’s own facility.
2. What is covered
For one year from the original invoice date, TDP warrants to the Customer that Units and Parts will be free from defects in workmanship and materials, and that TDP Labor will be free from defects in workmanship.
3. Labor performed by others is not covered
This warranty covers TDP Labor only. TDP does not pay or reimburse for labor, diagnostic fees, or other charges from any other shop, dealer, mechanic, or installer, including labor to remove, install, or replace a Part or Unit later found to be defective. This applies whether or not TDP approved or was told of the work in advance.
4. What is not covered
This warranty does not apply to:
- Consumable or wear items (including clutch friction discs, fluids, seals, and gaskets)
- Normal wear and tear
- Defects caused directly or indirectly by misuse, abuse, negligence, accidents, modification, lack of maintenance, racing or competition use, or exceeding the rated capacity of the product
- Improper installation, fitment, adjustment, or setup by anyone other than TDP, including failure to replace or properly service related components (such as hydraulic parts, bearings, flywheels, and mounts) or use of incorrect or contaminated fluid
- Lack of lubrication. Carryout and shipped-in Units are not pre-filled with fluid, and the Customer is responsible for filling them with the correct fluid before use.
- Gear noise of any kind, including axle gear whine and transmission gear rollover. Some noise is inherent to these components, and aftermarket gears may whine or hum at certain speeds.
- Damage in shipping (report this to the carrier)
- Products not purchased from TDP, or Parts used with components not supplied or approved by TDP
- Used, surplus, clearance, or “random” items. These are SOLD AS IS, WITH ALL FAULTS, AND WITH NO WARRANTY.
5. Remedy
At its option and expense, TDP will repair or replace the defective Unit or Part, or correct defective TDP Labor. Repaired or replacement items are covered for the remainder of the original warranty period. This is the Customer’s sole and exclusive remedy.
6. How to make a claim
Before the warranty period ends, the Customer must contact TDP, provide proof of purchase, and obtain authorization before returning any item. The Customer must keep all removed parts, must not discard or alter them, and must give TDP a reasonable opportunity to inspect them and the vehicle if requested. This includes providing photos, video, and repair records on request. For authorized warranty returns on orders shipped within the United States, TDP will pay reasonable ground shipping to TDP using the carrier and method TDP specifies, and will pay shipping to return any repaired or replacement item to the Customer. For orders shipped outside the United States, the Customer pays all shipping, export and import duties, taxes, and brokerage, in both directions. TDP will not reimburse shipping that was not authorized in advance or that uses a more expensive method than TDP specified. If TDP finds no defect, or finds the problem is outside the scope of this warranty, the Customer must pay all inspection and testing costs and the shipping costs in both directions.
7. Limitations
This is TDP’s only written warranty. ANY IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO THE DURATION OF THIS WRITTEN WARRANTY. TDP is not liable for incidental or consequential damages, including towing, rental vehicles, lost use, storage, travel, or third-party repairs and expenses. TDP’s total liability will not exceed the purchase price paid for the product. Some states do not allow certain limitations, so some of these may not apply to you. This warranty gives you specific legal rights, and you may have other rights that vary by state.
8. General
This warranty is not transferable. It is governed by the laws of the State of Texas.
10. In-Shop Service and Installation Work
This section applies when you bring a vehicle or Unit to our facility for removal, installation, repair, or other Services. Parts sales do not include installation.
Scope. We work only on drivetrain-related components, such as the transmission, clutch, differential, and torque tube, on the vehicles we list for installation work. We do not perform engine work. Where needed to reach the drivetrain, we may remove related parts such as headers or exhaust, and we may replace a rear main seal while the transmission is out.
Signed work order. Before we start work on a vehicle, we will ask you to sign a work order that lists your name and mailing address, the vehicle, and the work you authorize. We cannot begin the work without it.
Estimates and authorization. An estimate is our best judgment before the work begins and is not a fixed price. Hidden damage, worn or seized parts, and conditions we cannot see until the vehicle or unit is opened can change the cost. We will contact you for approval before doing any work beyond the approved estimate. If we cannot reach you, we will do only the work you already authorized. You authorize us to test drive or road-test your vehicle as needed to diagnose and verify the work.
Pre-existing and age-related conditions. Fasteners, fittings, hoses, wiring, and plastic or rubber parts on older vehicles can seize, break, or fail during normal removal and installation. We are not responsible for pre-existing conditions or for age-related failures that occur despite reasonable care, and we will tell you when we find one.
Customer-supplied parts. We may install parts you bought elsewhere, and we may decline any part we believe is unsafe or incorrect. We do not warrant parts we did not supply or the performance of the vehicle with those parts. If a customer-supplied part fails, repeat labor is chargeable.
Replaced parts. Parts we remove from your vehicle become our property unless you ask to keep them before the work begins.
Payment and our right to hold. Payment is due when you pick up your vehicle or Unit. Until you pay in full, we may keep it as the law allows, including under any repairer’s lien available under Texas law.
Storage and abandonment. After we tell you the work is complete, you must pick up your vehicle or Unit within 14 days. After that, we may charge reasonable storage fees to the extent the law allows, and we will tell you the rate when we notify you. If a vehicle or Unit is not picked up and paid for after we send you notice, we may enforce our lien and sell it to recover what you owe. We will follow the notice, waiting-period, and sale procedures that Texas law requires, including Chapter 70 of the Texas Property Code. Please keep your mailing address current with us, because those notices are sent by mail.
Your property in our care. We are not responsible for personal items left in a vehicle, or for loss or damage from causes beyond our reasonable control, such as fire, theft, weather, or acts of third parties, except to the extent our negligence caused it. Please remove valuables before you drop off your vehicle.
Warranty on our labor. TDP Labor is warranted as described in Section 9. To make a labor warranty claim, you must return the vehicle to our facility so we can inspect and correct the work.
11. Installation, Use, and Safety
Professional installation. Drivetrain work is complex and can cause serious injury or property damage if done incorrectly. We recommend that a qualified technician install every Part and Unit, following the vehicle manufacturer’s procedures. If you install a Part yourself, you accept the risk of doing so. Use proper lifting equipment, jack stands, and safety practices.
Inspect and replace related components. A Part is only as reliable as the system around it. When you install a clutch, transmission, or other drivetrain Part, inspect every related component, and replace those that are worn, damaged, or aged. For clutch work, that includes the clutch master cylinder, slave cylinder, hydraulic lines and fittings, release bearing and fork, pilot bearing, flywheel, pedal assembly, and mounts. After installation, bleed the hydraulic system thoroughly and verify full clutch release and pedal travel before you drive. A failure caused by a related component that was not replaced or serviced, or by air or contamination in the hydraulic system, is not a defect in the Part we sold.
Performance parts increase stress. Many of our Parts are designed to handle more power, torque, and abuse than original equipment, and installing one can put more load on other drivetrain components, such as axles, differentials, torque tubes, driveshafts, and mounts. You are responsible for deciding whether your vehicle’s other components can handle the added load. We are not responsible for damage to other components.
Racing, off-road, and modified use. Some Parts are intended for competition or off-road use only. Using any Part for racing or competition, or beyond its rated capacity, is at your own risk and outside the warranty (Section 9).
Legal compliance. You are responsible for making sure the Parts you buy and use are legal where you live and drive, including under emissions, noise, safety, equipment, inspection, and registration laws. Some Parts may not be legal for use on public roads in every state or country.
Effect on your vehicle warranty and insurance. Modifying a vehicle can affect the vehicle manufacturer’s warranty, your insurance coverage, and your vehicle’s resale value. Check with your manufacturer, dealer, and insurer before you modify your vehicle. We are not responsible for those effects.
Maintenance. Follow the manufacturer’s maintenance recommendations and our instructions for your Part or Unit. For a new or rebuilt transmission, we suggest driving gently for the first few days.
12. Disclaimers and Limitation of Liability
NO OTHER WARRANTIES. EXCEPT FOR THE LIMITED WARRANTY IN SECTION 9, TDP MAKES NO OTHER EXPRESS WARRANTY ON ANY PART, UNIT, OR SERVICE. ANY IMPLIED WARRANTY ON A PART, UNIT, OR SERVICE COVERED BY THE LIMITED WARRANTY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO THE DURATION OF THE LIMITED WARRANTY (ONE YEAR FROM THE ORIGINAL INVOICE DATE), AS STATED IN SECTION 9. USED, SURPLUS, CLEARANCE, AND “RANDOM” ITEMS ARE SOLD AS IS, WITH ALL FAULTS, AND WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NO INCIDENTAL OR CONSEQUENTIAL DAMAGES. TO THE FULLEST EXTENT THE LAW ALLOWS, TDP IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES TOWING, RENTAL VEHICLES, LOSS OF USE OF YOUR VEHICLE, LOST PROFITS OR WINNINGS, EVENT OR ENTRY FEES, STORAGE, TRAVEL, AND LABOR, DIAGNOSTIC, OR OTHER CHARGES FROM ANY OTHER SHOP, DEALER, OR INSTALLER. THIS APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE WERE TOLD THAT SUCH DAMAGES WERE POSSIBLE.
LIMIT ON TOTAL LIABILITY. TO THE FULLEST EXTENT THE LAW ALLOWS, TDP’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PART, UNIT, OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TDP FOR THAT PART, UNIT, OR SERVICE.
These limits apply even if a remedy fails. The limits in this section apply even if a remedy in these Terms fails of its essential purpose.
What these limits do not do. Nothing in these Terms limits liability that the law does not allow us to limit, including liability for death or personal injury caused by our negligence, by a defect in a Part, Unit, or Service, or by our fraud or willful misconduct, whatever the legal theory. Nothing in these Terms waives any right that a consumer cannot lawfully waive, including rights under the Texas Deceptive Trade Practices-Consumer Protection Act. Some states do not allow the exclusion or limitation of incidental or consequential damages, so some of these limits may not apply to you.
Time limit for claims. To the extent the law allows, any claim against TDP related to a Part, Unit, or Service must be brought within two years after the claim arises.
13. Indemnification, Website Use, and Intellectual Property
Indemnification. You agree to defend and reimburse TDP, its owners, employees, and agents for claims, losses, and reasonable legal fees brought by a third party and arising from your misuse of a Part or Unit, your violation of these Terms or the law, or the installation, modification, or use of a Part or Unit by you or anyone other than TDP. This does not apply to the extent a claim is caused by TDP’s own negligence or misconduct.
Using the Site. You agree to use the Site only for lawful purposes. You may not scrape or copy the Site with automated tools, interfere with its operation or security, try to access accounts or data that are not yours, or submit false or fraudulent orders. If you create an account, you are responsible for keeping your login secure and for activity under your account. We may suspend or close an account that violates these Terms.
Site content. We work to keep the Site accurate and available, but we do not promise that it will be uninterrupted or free of errors. The Site may link to third-party sites and services, such as carriers and payment processors. We do not control them and are not responsible for their content or practices.
Our intellectual property. The text, photos, videos, logos, product designs, and other content on the Site belong to TDP or its licensors. This includes the parts we design and manufacture ourselves. You may not copy, reproduce, or use them without our written permission, except for your own personal, non-commercial use.
Third-party marks. Tremec, Chevrolet, Corvette, Camaro, Cadillac, Pontiac, Dodge, Viper, Ford, Mustang, and other names and logos on the Site belong to their owners. We use them only to identify the vehicles and products that our Parts fit. TDP is not affiliated with, sponsored by, or endorsed by those companies unless we say so.
Reviews and submissions. If you post a review, photo, or comment on the Site, you confirm that it is truthful and yours to share, and you give TDP a free, non-exclusive right to display and use it in connection with our business. We may remove content that is unlawful, misleading, abusive, or off-topic.
Marketing messages. We send marketing emails or text messages only if you opt in separately. Accepting these Terms is not consent to marketing, and you can opt out at any time. Order and service messages are sent regardless.
14. Privacy, Governing Law, Disputes, and General Terms
Privacy. We collect and use your personal information as described in our Privacy Policy, posted on the Site. We use payment processors to handle card payments and do not store full card numbers.
Governing law. Texas law governs these Terms and every sale and service under them, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Resolving disputes. If you have a problem, please contact us first and give us 30 days to work it out with you. If we cannot resolve it, the state and federal courts located in Tarrant County, Texas have exclusive jurisdiction over any dispute related to these Terms, and you consent to their jurisdiction and venue. This does not take away any right you have under the law to bring a claim in a court of your choosing.
Events beyond our control. We are not liable for delay or failure to perform because of events beyond our reasonable control, including carrier or supplier delays, shortages, severe weather, fire, labor disputes, utility or internet failures, government actions, customs holds, or new or changed tariffs. If an event delays your order for a long time, you may cancel the affected portion for a refund.
Entire agreement. These Terms, together with the Limited Warranty and any signed quote or work order, are the entire agreement between you and TDP about your purchase. They replace any earlier statements, whether written or spoken, and the terms of any purchase order you send us.
If part of these Terms is unenforceable. If a court finds any part of these Terms unenforceable, that part is limited to the extent necessary, and the rest stays in effect.
No waiver. If we do not enforce a right right away, we have not given it up.
Assignment. You may not transfer these Terms or your rights under them without our written consent. We may transfer them in connection with a sale or reorganization of our business.
Electronic acceptance and records. Ticking the acceptance box at checkout is your electronic signature and has the same effect as signing on paper. We keep a record of your acceptance with your order, including your order number, the date, and your IP address.
Survival. Sections that by their nature should continue after an order is complete, including the warranty limits, the limits on liability, the indemnity, and the dispute terms, remain in effect.
